Terms and Conditions
dated August 1, 2017
These Terms and Conditions apply to all online language courses (“Courses”) provided by BocaLetras S.A. (“BocaLetras”) to members of public (“Student”).
2 Courses offered
Courses offered by BocaLetras are listed on the website of BocaLetras (“Website”) along with their contents, duration, volume of lessons, skill level and prices. BocaLetras may change the list of Courses time to time at its sole discretion. This shall however not affect the delivery of a Course already applied for by a Student and confirmed by BocaLetras, which shall be completed under the Terms and Conditions valid at the time of application.
BocaLetras provides Courses to Students aged 15 or more located outside of the Republic of Panama. By applying for a Course, the Student certifies to be of such age and location.
4.1 Trial lesson
Before applying for a Course, the Student may request a one-off trial lesson from BocaLetras at a cost as specified on the Website. If the Student applies for a Course within six weeks from completing the trial lesson, BocaLetras shall reduce the price of this Course by the cost paid by the Student for this trial lesson. Other than that, the cost paid by the Student for such trial lesson is not reimbursable. The remainder of these Terms and Conditions applies to the trial lesson as if it were a Course.
4.2 Registration and application for a Course
The Courses are applied for using the Website. Along with applying for any Course, the Student has to register their name, e-mail address and Skype™ name with BocaLetras so that the Course can be administered by BocaLetras. BocaLetras may use the registration data solely for the purposes defined in these Terms and Conditions.
All Courses shall be paid by the Student in full in advance using online payment methods as specified on the Website at the time of applying for a Course.
4.4 Course confirmation
After receiving an application for a Course and the payment from a Student, BocaLetras shall confirm the acceptance of the application to the Student and thereby commit the delivery of the Course as specified on the Website to the Student. Should BocaLetras not confirm the Course to the Student within seven days of the application date for whatever reason, the Course is deemed not confirmed and BocaLetras shall refund the payment provided by the Student in full immediately.
5 Scheduling and attendance
5.1 Course schedule
The course confirmation by BocaLetras shall contain the Course schedule within the frames as requested by the Student in the Course application. If BocaLetras is unable to provide the Course in line with the schedule requested by the Student, BocaLetras and the Student shall agree a suitable alternative within seven days of the Course application, or else the Course is deemed unconfirmed in line with the paragraph 4.4.
5.2 Schedule change
If the Student requires a change of the confirmed Course schedule, be such change temporary or permanent, BocaLetras shall use its best endeavours to accommodate such request. The Student shall inform BocaLetras of such request as soon as possible, but no later than three days in advance. The Student acknowledges that BocaLetras may not be able to provide a change to the confirmed Course schedule.
A scheduled lesson not attended by the Student is deemed delivered.
The Student shall communicate any requests with regards to the Course schedule solely to the administrative contact of BocaLetras.
6.1 Tools and technology
The courses are delivered using online tools and technology selected by BocaLetras. BocaLetras may change the tools and technology provided time to time at its sole discretion. The Student shall ensure their capability to use the tools and technology specified by BocaLetras and BocaLetras shall not be held responsible for any cost, risk or other impact of the tools and technology on the side of the Student. The Student is particularly responsible for protecting the Student’s technology against harmful software.
BocaLetras uses professional teachers to deliver the Courses. BocaLetras may change the assignment of teachers to Courses at any time at its sole discretion. BocaLetras welcomes and encourages positive and negative feedback from the Students with regards to Course quality and always uses its best effort to further improve course quality.
BocaLetras uses its own courseware as well as third party courseware to deliver the Courses. By applying for a Course, the Student commits to comply with the intellectual property rights defined by the respective copyright owners of the materials. The Student is responsible for any violation of the intellectual property rights to the Courseware on the side of the Student.
6.4 Course provision
BocaLetras commits to deliver the Course as specified in the Course confirmation. Should BocaLetras not be able to deliver a scheduled lesson, the Student shall be entitled to a free replacement lesson. In case such failure occurs three or more times during the Course, the Student is entitled to cancel the remainder of the Course immediately and to receive a pro-rata refund of the undelivered part of the Course from BocaLetras. Any claims of the Student driven by the failure of BocaLetras to deliver shall be made by the Student by e-mail to the administration of BocaLetras within seven days of the scheduled lesson that was not delivered.
7 Personal data
7.1 Use of data
Any personal information of the Student provided to BocaLetras, including the name, e-mail address and Skype™ name, shall only be used by BocaLetras to administer the Course and to communicate with the Student in relation to the Course. BocaLetras may further address the Student with additional information about other Courses and services of BocaLetras during the period between receiving the Student’s application and up to six weeks after the termination of the Course (or six weeks after receiving the Student’s application in case the application has not been confirmed by BocaLetras).
7.2 Third parties
BocaLetras will never permit other parties to use the personal information of the Student, save where such use is enforced by applicable laws. Where BocaLetras uses third party services, BocaLetras shall require the same level of personal data protection from such third parties.
8.1 Limitation of liability
BocaLetras shall not be liable for costs of procurement of substitute services, property damage, personal injury, loss of profits, interruption of business, or any other special consequential, or incidental damages, based on failure to provide the Course or other breach of these Terms and Conditions. The total liability of BocaLetras to the Student shall not exceed the total amount actually paid by the Student for the Course the liability relates to.
If any provision of these Terms and Conditions is or becomes illegal, invalid or unenforceable under the law of any jurisdiction, that will not affect or impair (i) the legality, validity or enforceability in that jurisdiction of any other provision of these Terms and Conditions; or (ii) the legality, validity or enforceability under the law of any other jurisdiction of that or any other provision of these Terms and Conditions.
BocaLetras may assign all or any part of its rights or duties under these Terms and Conditions by an e-mail notice to the Student.
These Terms and Conditions are to be governed by and construed in accordance with the laws of the state of New York, USA and BocaLetras and the Student submit to the exclusive jurisdiction of the courts of the state of New York, USA.
8.5 Change of these Terms and Conditions
BocaLetras may change these Terms and Conditions at any time at its own discretion. Any Course delivered by BocaLetras shall be subject to the Terms and Conditions valid at the date of receipt of the Student’s application for the Course by BocaLetras.
